Beside Terms of Use
Version 1, of October 22, 2026.
Editorial revision of October 27, 2026: the product is now called Beside, with no change in content.
This is a translation for convenience. The Portuguese version of these terms is the one that prevails.
These terms govern the use of Beside, the virtual office offered by KXP Tecnologia da
Informação Ltda., CNPJ 43.866.781/0001-04, headquartered in Belo Horizonte, MG, Brazil ("KXP",
"we"). Beside runs at app.beside.place and in the apps for Windows, macOS and Linux. The contact
for any matter in these terms is contato@kxptech.com.
We wrote these terms to be read. If anything is unclear, ask before accepting.
1. Who uses Beside
Company is the organization that has an office on Beside, whether it signed itself up or KXP created it at its request. User is each person with a Beside account, invited by a company or who signed up their own company.
You must be 18 or older to use Beside. Whoever signs up a company declares that they have the authority to accept these terms on its behalf, and the company is bound by them.
By creating an account, accepting an invitation or signing in after a new version of these terms, the user accepts these terms and declares having read the Privacy Policy.
2. What the service is
Beside is an office drawn on a map, where each person has a character. Whoever comes close to someone starts to hear and see that person, and the conversation ends when they move apart. It includes rooms, chat with files, team memory, a connection to Google Calendar and a console where the company's admins manage members, offices and data.
Beside changes over time: features are born, change and may cease to exist. Changes that take away something important from users will be announced with reasonable notice.
3. Price
As long as there is no billing, Beside is free, with no time limit. Before it starts charging, KXP notifies companies at least 30 days in advance, publishes the price and only charges those who sign up for it. Nobody starts paying without having agreed.
4. Account and access
Each account is personal. Users take care of their own password, do not share it and let KXP know if they suspect unauthorized access. An account may take part in more than one company.
The company's admin invites and removes members, assigns roles, creates offices and closes the company. Removing someone takes that person out of that company, and does not delete their account in the others.
5. Acceptable use
On Beside, nobody may:
- break the law or the rights of others, including image, privacy and copyright;
- harass, threaten, discriminate against or expose other people;
- record, photograph or broadcast another person's voice, image or screen without their knowledge and consent;
- send malicious software, try to access what is not theirs, test the security of the service without written authorization from KXP or overload it on purpose;
- collect data from other users in an automated way, outside the tools Beside itself offers for that, such as team memory for assistants;
- resell or sublicense the service without an agreement with KXP.
6. Your content
What the company and the users put on Beside (messages, files, team memory, names of offices and rooms, images) remains theirs. KXP receives only the permission needed to store, process and show that content to those who have access, for the sole purpose of providing the service.
KXP does not sell this content, does not use it for advertising and does not use it to train artificial intelligence models. KXP does not read companies' content as a routine; it may need to access it to handle a support request from the company itself, to investigate a breach of these terms or under a legal order.
7. Beside is not a surveillance tool
Beside shows who is in the office right now, like a real room. It was designed not to serve as working-hours control: per person, the admin sees only a last-access range, with no date or time, and usage figures, if they ever exist, will only appear when they cover 5 people or more.
Beside is not a time clock under labor law. If the company uses any Beside information about its own employees, the company is responsible for the legal basis and for informing them.
8. Availability
KXP strives to keep Beside online and makes a daily backup of the data, but, while the service is free, it does not guarantee minimum availability. There may be maintenance downtime, announced when planned.
9. Closing
The company may close its account at any time, through the console. From the request, for 30 days, the office no longer opens and the console remains available for the admin to export members, team memory, the activity log and all chat channels, including private and archived ones, with their files. Direct messages are not part of that package: each person downloads their own during the same 30 days. The company may change its mind within that period. After the 30 days, the company's data is deleted, as described in the Privacy Policy.
KXP may suspend a user or a company that seriously breaches these terms or the law, notifying them beforehand whenever the situation allows, and stating the reason.
If KXP decides to shut down Beside, it notifies companies at least 60 days in advance and keeps the export available during that period.
10. Liability
Beside is offered as is, free of charge. KXP is liable for the damages it causes through willful misconduct or fault, within the limits of the law, and is not liable for the use that companies and users make of the service, for the content they publish, or for internet, power or equipment failures that are not under its control. Nothing in these terms waives rights that the law does not allow to be waived, including those of the Brazilian Consumer Protection Code, where it applies.
11. Intellectual property
The Beside software, brand and design belong to KXP. The map and character art belongs to third parties, is used under license, and may only be used within Beside. Using Beside does not transfer any of these rights.
12. Data protection
How KXP processes personal data is described in the Privacy Policy. For office usage data, the company is the controller and KXP is the processor, under the Data Processing Agreement in the annex, which is part of these terms.
13. Changes to these terms
KXP may update these terms. A relevant change is announced at least 30 days in advance, and the new version asks for a new acceptance on sign-in. Whoever does not agree may close their account or the company before the change takes effect.
14. Governing law and venue
These terms are governed by Brazilian law. The courts of Belo Horizonte, MG, Brazil are chosen as the venue, without prejudice to the right of consumers to bring an action in their own domicile.
Annex: Data Processing Agreement
This agreement applies between the company, as controller, and KXP, as processor, for the personal data processed in the use of the company's office, under the Brazilian General Data Protection Law (Law 13,709/2018, LGPD).
Subject and purpose. KXP processes the data only to provide Beside to the company, in accordance with these terms and with the settings that the company's admins choose in the product, which are the company's instructions.
Data subjects and data. The data subjects are the company's members and guests. The data is what the Privacy Policy describes as "office usage data": presence and position on the map, rooms, voice and video conversations transmitted live, messages, files, team memory and the activity log. The technical log and the usage counts, which KXP uses to keep the service working and secure, are processed by KXP as controller, as set out in the Privacy Policy.
Confidentiality. Only the KXP people who need it, to operate and provide support, have access to the servers, and all of them are bound by confidentiality.
Security. KXP maintains technical and administrative measures to protect the data, among them: encrypted connections, isolation between companies, restricted administrative access and backups encrypted before they leave the server.
Sub-processors. The company authorizes KXP to use the sub-processors listed in the Privacy Policy. KXP notifies companies at least 30 days in advance before adding or replacing a sub-processor; a company that disagrees may close its account at no cost before the change.
Incidents. KXP notifies the company within 48 hours after confirming a security incident involving its data, with what is known up to that point, and keeps informing it, so that the company can meet its own deadlines with the authority and with the data subjects.
Data subject rights. KXP helps the company handle data subjects' requests. A request about office usage data that reaches KXP directly is forwarded to the company within 5 business days, and the data subject is told that it was forwarded.
International transfer. Today the office usage data of client companies stays in Brazil; Google Calendar only comes in when the person connects it themselves. KXP notifies companies before any change to this, as it does with sub-processors.
Termination. On closing, section 9 of these terms applies: 30 days to export and then deletion. Backups are daily, with the 30 most recent kept, and those that still hold the deleted data go away on their own as new backups arrive. Only the data that the law requires to be kept is retained, for the period the law sets.
Information. The company may ask KXP, once a year or when there is an incident, for the reasonable information needed to verify compliance with this agreement.
